Terms & Conditions

1. Scope. Services, deliverables, duration, and fees are defined in the applicable AppSource listing and/or statement of work.
2. Fees & Invoicing. Unless otherwise agreed, fixed-fee engagements are invoiced 100% at project start and due net 15 days.
3. Client Responsibilities. Client will provide timely access to environments, data, and subject-matter experts.
4. Confidentiality. Each party will protect the other's confidential information with reasonable care.
5. IP & Deliverables. Pre-existing IP remains with the owner. Custom deliverables are licensed to Client for internal business use.
6. Warranties. Services are provided “as is.” We disclaim all implied warranties to the maximum extent permitted by law.
7. Limitation of Liability. Our aggregate liability is limited to the fees paid for the services giving rise to the claim.
8. Governing Law. Michigan, USA without regard to conflict-of-law rules.
